About the role

Point is seeking an experienced and strategic Deputy General Counsel, Structured Finance, to lead and support all capital markets legal initiatives. This role is critical to the continued growth of Point’s proprietary home equity investment line of business. The Deputy General Counsel will report to the COO and General Counsel and interface regularly with the CEO, providing strategic and tactical legal guidance on complex capital markets transactions.

This role requires deep experience in structured finance and capital markets, with a focus on 144A offerings, 4(a)(2) private placements, fund formation, forward flow agreements, warehouse lending facilities, and other forms of institutional financing. You will be instrumental in driving legal execution of financing deals, managing relationships with external counsel and investors, and ensuring compliance with relevant regulatory frameworks.

Your responsibilities

  • Lead the structuring, negotiation, and execution of complex capital markets transactions, including 144A and 4(a)(2) deals.
  • Provide legal guidance and manage documentation for forward flow purchase agreements, fund formation, and warehouse lending arrangements.
  • Serve as the primary legal advisor on all structured finance transactions, including securitizations and related regulatory matters.
  • Collaborate closely with senior executives, investors, external counsel, and internal cross-functional teams, including Finance, Investor Operations, Product, and Customer Operations.
  • Support investor due diligence processes and respond to audits and regulatory inquiries as needed.
  • Develop and maintain internal policies and procedures to ensure compliance with securities laws and other applicable legal standards.
  • Advise on new financial product structuring and capital markets initiatives from inception through execution.

About You  

  • 10+ years of legal experience, including significant time at a top law firm or in-house, advising on structured finance, securitizations, and capital markets transactions.
  • Deep expertise in 144A and 4(a)(2) offerings, fund formation, forward flow, and warehouse facilities.
  • Familiarity with residential mortgage and consumer finance products and the regulatory frameworks governing them.
  • Excellent project management, negotiation, communication, and drafting skills.
  • A practical, business-oriented approach to problem-solving and the ability to thrive in a fast-paced, entrepreneurial environment.
  • JD from an accredited law school and a member in good standing of the State Bar of California, or eligible for the in-house counsel exemption.

  • For employees in states without Paid Family Leave, Point will provide up to 8 weeks of paid parental leave. 
  • In addition, all employees will receive 4 weeks of fully paid transition time. For four weeks after returning from parental leave, and following the use of all other paid leave benefits, you may work part-time, meaning two or three days per week, and receive 100% of regular base pay.

Compensation at Point will be determined by skills, experience, and geographic location. Point has identified the expected annual base salary for this role at this level:

  • $220,000 - $300,000

This does not include any other potential components of the compensation package, including equity, benefits, and perks outlined above. At the launch of each position, we benchmark compensation to the appropriate role and level utilizing competitive compensation data from various data sources as references. At the offer stage, we use the signal we received from our interviews, coupled with your experience, location, and other job-related factors to determine final compensation.

Location Requirement: This is a remote position. However, candidates must reside in one of Point’s states of operation: AL, AZ, AR, CA, CO, CT, DC, FL, GA, IL, KS, KY, MA, MI, MN, MO, NV, NJ, NY, NC, OH, OR, PA, SC, TN, TX, UT, VA, or WA.
