DESCRIPTION 

Foundry is seeking a Legal & Compliance Counsel to lead and manage enterprise-wide compliance efforts while providing legal support across the organization. This role’s primary focus will be building and executing a global compliance framework, and a secondary focus on supporting commercial legal matters—particularly contract drafting, review, and negotiation. 

You will serve as a trusted advisor on regulatory, compliance, and legal risk across the business. This is a rare opportunity to join a fast-moving and innovative crypto infrastructure company backed by one of the most established players in the digital asset space. You’ll be part of a small, entrepreneurial legal team where your contributions will have immediate impact. 

PRIMARY RESPONSIBILITIES 

Compliance Oversight (Primary Focus) 

  • Lead the design, implementation, and evolution of the company’s enterprise-wide compliance program, ensuring alignment across multiple business lines and jurisdictions.
  • Monitor and assess compliance with laws, regulations, and internal policies related to Anti-Money Laundering (AML), Know Your Business (KYB), Countering the Financing of Terrorism (CFT), sanctions, FATF guidelines, and other relevant global regulatory standards.
  • Serve as the primary point of contact for all compliance inquiries and internal escalations, including support for audits, investigations, and third-party due diligence requests.
  • Review and verify KYB onboarding applications, including follow-up on ongoing alerts and escalating red flags where appropriate.
  • Maintain and update compliance documentation, internal policies, and training materials to support awareness and adherence across the organization.
  • Act as the liaison to external vendors, partners, and regulators on compliance-related matters and requests.
  • Develop and track metrics and reporting tools to assess the effectiveness of the compliance program and identify areas for improvement.

Legal Advisory Support (Secondary Focus) 

  • Provide legal support to the VP, Head of Legal, by assisting with contract review, drafting, and negotiation.
  • Draft and negotiate a wide range of commercial agreements, including SaaS contracts, vendor and licensing agreements, NDAs, MSAs, and professional services contracts.
  • Provide legal input on regulatory risk, product development, and business strategy to ensure alignment with applicable laws and company obligations.
  • Help manage the contract lifecycle process and improve efficiency through templates, playbooks, and standardized practices.
  • Support coordination and communication with outside counsel on regulatory matters, legal risk, and special projects.

 Cross-functional & Strategic Contribution 

  • Collaborate with product, operations, engineering, HR, and finance teams to ensure legal and compliance considerations are embedded into day-to-day operations.
  • Lead or support ad hoc projects and company initiatives, particularly those related to compliance risk, policy development, and regulatory readiness.
  • Contribute to building a culture of compliance and ethical decision-making throughout the company.

 MINIMUM QUALIFICATIONS 

  • J.D. from an accredited U.S. law school and active license to practice in at least one U.S. jurisdiction.
  • 5+ years of legal and compliance experience, including at least 3 years in a hybrid role.
  • Strong knowledge of U.S. regulatory frameworks applicable to digital assets, crypto, or financial services.
  • Demonstrated experience managing KYB/AML processes, compliance audits, or regulatory reporting.
  • Strong legal drafting, review, and negotiation skills across a variety of contract types.
  • Excellent written and verbal communication skills, with the ability to explain complex topics clearly to non-legal stakeholders.
  • Ability to work independently with minimal oversight in a fast-paced, evolving environment.

 PREFERRED QUALIFICATIONS, KNOWLEDGE, SKILLS, ABILITIES 

  • Experience responding to audits or inquiries from regulators (e.g., SEC, FinCEN, NYDFS).
  • Professional certifications such as CAMS, CRCM, CGSS, or CFE.
  • Familiarity with international compliance obligations (e.g., GDPR, MiCA, FATF frameworks).
  • Experience working with contract management systems or GRC tools.
  • Prior in-house experience at a scaling technology or crypto company.
  • Cryptocurrency or Bitcoin experience.

The salary range for this role is $125,000- $175,000.  This is the range that we in good faith believe is the range of possible compensation for this role at the time of posting. We may ultimately pay more or less than the posted range. This range may be modified in the future.

This range only includes base compensation and does not include other tangible benefits such as 401K match, bonuses, overtime pay, and other benefits.
